These Terms & Conditions govern the use of this website and the provision of services by Purpose In Action. Purpose In Action is the trading name of David Schofield, Rushes Lane, Lubenham, Leicestershire LE16 9TN, United Kingdom. David Schofield is the contracting party for every engagement. Purpose In Action provides:

All services are delivered on a professional advisory basis. Scope, duration and fee structure are agreed in writing before engagement.

2. Engagement Terms

Specific engagement details, including scope of work, payment structure and duration, are set out in a separate written agreement or proposal. We reserve the right to decline engagements where we believe fit is not appropriate.

3. Fees & Payment

Fees are agreed in advance and confirmed in writing. Invoices must be paid within the agreed payment period. Late payments may incur interest in accordance with UK law. Where services are ongoing, fees may be reviewed periodically by mutual agreement.

4. No Guarantees

While we provide professional advisory and operational leadership services, we do not guarantee specific financial outcomes, revenue increases or business performance results. All strategic and operational decisions remain the responsibility of the client.

5. Limitation of Liability

  • We are not liable for indirect or consequential losses
  • Our total liability under any engagement is limited to the total fees paid for that engagement

Nothing in these terms excludes liability for death, personal injury, fraud or any liability that cannot be excluded under UK law.

6. Confidentiality

All client information shared during advisory or fractional COO engagements will be treated as confidential unless disclosure is required by law. Clients are responsible for ensuring appropriate internal confidentiality controls within their own organisations.

7. Intellectual Property

All materials, frameworks and documentation created by Purpose In Action remain our intellectual property unless otherwise agreed in writing. Clients are granted a licence to use materials for internal business purposes only.

9. Governing Law
